甲方就委托乙方代为追讨 债务事宜，经甲乙双方充分协商,达成如下协议：
1、甲方负责提供债务人名称(或姓名)，详细地址，联系人及联系电话，债权凭证复印件等相关资料和信息，债权凭证原件由甲方自行保管，待债款还清后销毁。
2、甲方应协助寻找确认债务人，必要时可出面配合乙方的全面工作。
3、甲方全权委托乙方负责讨回外欠债务事宜，乙方不得使用违反法律、行政法规的手段追讨，乙方在追债过程中发生任何事情均与甲方无关。
4、乙方在追讨过程中，发生的侵权行为或因追讨受到损害的，均由乙方自行承担，与甲方无涉，乙方不得要求甲方赔偿。
5、甲方按照乙方实际追回债款数额的30%支付报酬。未追回债款的，乙方不得要求甲方支付任何费用，包括但不限于交通费、调查费、人工费、劳务费等。
6、在乙方主持调解下，甲方与债务人达成书面调解协议，甲方按债务人实际偿还数额的15%支付报酬，并不计其他任何费用。
7、追回的债款，必须由甲方收取，待甲方收取后，按实际金额比例支付报酬，乙方在甲方未授权或未在场时收取债款的，甲方有权降低报酬标准至原定标准的一半。
8、自本合同签订之日起至180天内，凡甲方债款经乙方催要，债务人直接向甲方交款的，作为乙方代甲方追回的债款进行结算。超过180天的均不得视为乙方追讨回债款，并不得要求甲方支付报酬。
9、本协议自双方签字或盖章后生效,一式两份,双方各持一份.

甲乙双方本着平等自愿、互惠互利原则，就结成长期商务合作关系，经友好协商达成以下协议：
一、合作期限
本协议有效期为 年。自 年 月 日起到 年 月 日止。
二、合作内容
甲方权利义务
1、向乙方提供新产品的技术支持。
2、与乙方共同研发新产品。
3、如甲方自身还未与客户签约时，乙方的合作进程则听从甲方安排。
4、甲方向乙方推荐的客户与乙方直接签约，甲方不负有任何责任。 乙方权利义务
1、向甲方推荐合适的客户或项目。
2、协助甲方促成与客户签约。
3、为甲方推荐的客户提供最好的服务以及最优的价格。
4、乙方同意以约定的结算时间和方式进行结算。
三、合作条件
1、甲方向乙方或乙方向甲方推荐的客户成功与之签约，即视为推荐成功。
2、成功推荐项目后，被推荐方向推荐方支付该项目实际营业额的2%做奖励。
3、付款方式：自被推荐方首次收到客户服务费的第二个月开始支付，每月结算一次，每月5日前支付。推荐方则提供对应的正式发票。
四、违约责任
1、合作双方在业务实施过程中，如因一方原因造成客户方商业信誉或客户关
系受到损害的，另一方可立即单方面解除合作关系。同时，已经实现尚未结束的业务中应该支付的相关费用，受损方可不再支付，致损方则还应继续履行支付义务。
2、双方在分配利润时，如任何一方对利润分配的基数、方式有异议的，可聘请会计师事务所进行审计。
五、补充变更
本协议在执行过程中，双方认为需要补充、变更的，可订立补充协议。补充协议具有同等法律效力。补充协议与本协议不一致的，以补充协议为准。
六、协议终止
1、甲乙任何一方如提前终止协议，需提前一个月通知另一方。
2、本协议期满时，双方应优先考虑与对方续约合作。
七、争议处理：
如发生争议，双方应积极协商解决，协商不成的，受损方可向广州市人民法院提起诉讼。
八、本协议经双方盖章后生效。本协议一式两份，甲乙双方各执一份，具有同等法律效力。

双方经平等协商一致签订本合同，以确认各方权利与义务并共同遵守。
一、甲方委托乙方服务事项
甲方因融资 万元事宜，委托乙方就融资方式、对象选择、操作办法、风险防范措施等事宜，委托乙方提供咨询服务。
二、乙方服务内容
1、帮助甲方联系或者寻找适合甲方融资需求的对象;2、对甲方拟进行的`融资方案进行可行性论证;3、帮助或者代理甲方与潜在的融资对象进行初步的商业谈判或者协商;4、根据融资意向双方的具体情况，为甲方拟定融资参考方案;5、帮助或者指导甲方准备融资方案执行过程中所需的基本资料。
三、咨询服务费
就乙方提供的咨询服务，甲方向乙方支付的报酬为：甲方按实际取得融资额的 %向乙方支付服务费。服务费在融资通过审批并取得前一次性向乙方支付。
四、乙方服务期限
乙方收取甲方按本合同约定支付的服务费后，为甲方提供的服务至以下条件之一出现时止：
⑴ 甲方与合作对方实现成功合作，即甲方与合作对方主要合作合同签订;⑵ 甲方以书面形式通知乙方放弃融资计划;⑶ 甲方已经实际失去融资条件;⑷ 甲方三次以上放弃与乙方联系的客户进行实质性谈判。
五、保密
为履行本合同，甲方向乙方提供的融资信息、关于主体与资信情况的信息，经甲方特别明示为保密信息的，乙方应承担保密责任，未经甲方书面许可不得擅自向第三人提供或者泄露，但为履行本合同所必需的除外。
六、风险承担
1、乙方为履行本合同向甲方提供的所有信息、资料、方案与措施等均供甲方参考，对甲方使用后可能产生的风险不承担任何责任。2、乙方对帮助或者指导甲方所取得的合作对方的调查资料的真实性，对合作对象资信状况与承担责任的能力不作任何保证。3、乙方对所提供咨询服务是否能使甲方实现拟融资目的不作任何保证，甲方支付费用后，不得以任何理由要求乙方全部或者部分返还。4、对甲方与合作对方之间的合作合同的履行，乙方不承担任何责任。
七、违约责任
1、甲方逾期支付费用的，乙方有权在收到费用前暂停履行本合同约定义务。2、甲方逾期支付服务费的，应按逾期支付金额每日千分之二向乙方支付违约金。3、乙方收到甲方费用后拒不提供本合同约定服务的，应全额退还甲方已支付服务费。
八、争议解决方式
因履行本合同发生争议双方不能协商解决时，任何一方认为需通过诉讼方式解决的，由乙方所在地人民法院管辖。
十、其他
1、对本合同的修改需以书面方式进行，并且签名代表人及印章应与本合同签名与印章相符。2、本合同一式贰份，双方可执一份具有同等法律效力。3、本合同经双方签章生效。

甲乙双方经友好协商，就整合双方的优势资源开展国际合作，结成战略合作联盟一事达成如下协议：

一、合作领域co-operation domain

3、企业服务：乙方为甲方输送的中国企业提供在英国的分支以及独立机构注册及其管理服务，甲方为乙方输送的英国企业提供在中国的分支以及独立机构注册及管理服务；
corporation services : party b will provide companyregistration and management services in uk to party a’s introducedchina corporation who intends to setup the subsidiary company,branch office or independent corporation in uk. party a willprovide same sort of services in prc to party’s introduced uk corporation who intends to setupthe business entity or office in prc.
4、文化经济交流：甲乙双方共同组织主办在中国以及英国境内的各种金融投资、文化经济交流活动以及国际间招商引资活动。

二、合作方式 manner of co-operation
1、乙方授权甲方为其在中国境内的代表机构，负责乙方在中国的合作项目及相关事务。

2、甲方授权乙方为其在英国境内的代表机构，负责甲方在英国及国际的合作项目及相关事务。

3、甲乙双方为对方提供翻译1名，负责双方日常事务的沟通交流；
bothparties will provide a bilingual translator for each other to takecare both parties’daily operation and communicationmatters.
4、甲乙双方互设办事处及电话转、接听服务。
bothparties will establish their own representation office and providecall transfer and pick-up services. both parties will mutuallydevelop periodical management communication system to ensure smoothdevelopment of co-operation business.
5、甲乙双方共同建立高层定期沟通制度，保证各项工作的顺利开展，甲乙双方各自认定对方为其在对方所在国的战略合作伙伴；为共同项目合作成功而努力。

6、甲乙双方同意，在本协议有效期内，一方可以使用另一方所有合作项目中拥有合法著作权或者合法授权的文字、音频、图像等资源，如果一方在其网站上使用另一方这些内容时，该方须标明内容来自另一方。

7、涉及商务考察和项目运作费用，以及利润分配等方面，甲乙双方可通过签定具体项目合同予以解决。

三、合作承诺：co-operation commitment
1、友好合作、紧密配合、互相尊重、互相学习为基础；认可客观中西文化差异性，吸收优秀文化，谋求中西融合、和谐发展。

四、甲乙双方均认可本协议是对双方合作的一种框架性安排，涉及到具体项目再另行签订相关合同书。

五、未尽事宜双方协商解决。
